Due to the pandemic situation in Poland, the Company’s Board of Directors decided to change the date for filing share documents from 31.12.2019 to 31.01.2021.
The Board of Directors of the Company once again invites all shareholders to submit their share documents no later than 31.01.2021 to the registered office of the Company: Skrzyńsko ul. Przemysłowa 56, 26-400 Przysucha, so that they can be converted into digital form. The filing of share documents with the Company is done against a written confirmation issued to the shareholder.
In connection with the entry into force of the Act of 30 August 2019 amending the Commercial Companies Code and certain other acts (Journal of Laws of 2019, item 1798), hereinafter “the Act”, Klinkier Przysucha S.A. with its registered office in Skrzyńsk (hereinafter “the Company”), informs shareholders of the introduction into the Polish law of the compulsory dematerialisation of shares of companies, which means replacing the paper form of shares with a digital record in the register of shareholders kept by the entity referred to in Article 3281 § 2 of the Commercial Companies Code in the wording specified in the Act.
Pursuant to the amendments, the validity of the existing share documents issued by the Company will expire by operation of law on 1 March 2021. After that date, the shares will no longer be a document confirming shareholder status, but only an evidential document necessary to update the electronic shareholder register. Whereas, after 1 March 2026, the protection of membership rights will be lost for shareholders whose share documents have not been filed with the company and are not included in the electronic shareholder register.
With regard to the above changes, the Board of Directors of the Company invites all shareholders to submit their share documents no later than 31.12.2020 to the registered office of the Company: Skrzyńsko ul. The return of shares to the company is made against a receipt issued to the shareholders. The receipt template is part of the questionnaire to be completed by the shareholder (Appendix 4 or 5).
By Resolution No. 11 of the Annual General Meeting of 29.05.2020, Navigator Brokerage was selected for the maintenance of the electronic shareholder register.

Any shareholder who consents to the creation of an access account to the DM Navigator web application (consent can be given by ticking the YES box in Part IV of the questionnaire constituting Appendix 4 or Appendix 5 respectively) will be granted access to the shareholder register.
On 1 March 2021, DM Navigator will provide each shareholder of the company who gives the foregoing consent with individual access data to the DM Navigator web application.
Access to the DM Navigator web application for the company operator will be granted on the basis of an appropriate request from the company signed in accordance with the company’s representation
